Your deadline falls every two years in the calendar month your entity was originally formed or authorized to operate in New York. If your LLC was formed in March 2024, your first biennial statement is due in March 2026.

What Happens If You Miss the Deadline

Failing to file can trigger penalties and, eventually, administrative dissolution. A dissolved entity loses its good standing, cannot enforce contracts in New York courts, and may face complications reopening.

Reinstating a dissolved entity involves additional paperwork and fees. It is far cheaper and simpler to file on time.

The Publication Requirement

This is the requirement that catches new LLC owners off guard. Within 120 days of formation, New York LLCs must publish notices in two newspapers — one daily, one weekly — in the county where the LLC's office is located. The notices run for six consecutive weeks.

Cost depends entirely on the county. Rural counties may charge around $300 total. New York City and other expensive markets can push the tab past $1,500. After completing publication, you file a Certificate of Publication with the Department of State for $50.

If you fail to complete the publication requirement, your LLC may be suspended. A suspended LLC cannot bring lawsuits in New York courts, though it can still be sued.
